SCALE OF FEES AND EXPENSES

ANDIUM TRUST places great emphasis on providing professional offshore administration services at reasonable cost. The fees set out below are for typical structures. We would be happy to prepare a specific quote for more complex structures or multiple entities on request.

The formation fees quoted are for typical entities and include legal fees to engross a standard trust deed and include government fees to incorporate a Jersey or BVI company with a standard set of articles. For a Jersey company, there is an additional £250 payable for same-day incorporations. The formation of trusts and companies with non-standard documentation may incur an additional fee.

The annual domiciliary fee covers the basic cost for looking after an entity. It includes provision of a Company Secretary, Jersey registered office facilities, maintaining statutory records and providing nominee services. It is payable annually in advance.

Where ANDIUM provides directors, trustees or other officers, a fee will be determined on an individual basis depending on the activities of the entity.

Management and administration fees are charged on an actual time cost basis quarterly in arrears. These fees will apply in respect of all activity undertaken on behalf of the company and they will be commensurate with the time, complexity, urgency and responsibility involved. In order to minimise administration fees, our policy is always to delegate tasks to the appropriate level of staff where possible.

Fees for the preparation of unaudited accounts will be charged on an actual time cost basis. Accounts will be prepared annually as required by the Companies (Jersey) Law 1991 and / or Trusts (Jersey) Law 1984, where appropriate. We can also arrange for accounts to be audited and/or to be prepared in terms of International Financial Reporting Standards.

Compliance Review: Financial services legislation in Jersey obliges us to complete a compliance review at regular intervals in respect of all clients. This will be charged at our standard hourly rates.

Disbursements: All properly incurred disbursements including legal fees, courier charges, taxes, annual return fees, registered office fees, telephone, facsimile, postage and photocopying charges are recoverable in addition to our fees.

Payment: All fee notes are payable within 30 days of issue. We reserve the right to levy a service charge of 1.5% per month on overdue accounts.

Deposit: We would require a deposit to be paid during set up equal to the estimated first quarter fee and subsequently, the agreed credit limit. This would be held on a client account and fee invoices would not be paid until you were notified.
